1. Scope of application
These General Terms and Conditions (hereinafter “GTC”) govern the contractual relationship between FG Valeur GmbH, Muttenz (brand “VELRIX”, hereinafter “Provider”) and its business customers (hereinafter “Customer”) regarding the provision of digital sales system services.
The GTC apply to all contracts between the Provider and the Customer unless otherwise agreed individually. The Customer's general terms and conditions do not apply, even if the Provider does not expressly object to them.
The provider's services are directed exclusively at businesses and not at consumers. The provisions on consumer contracts therefore do not apply.
2. Conclusion of contract
The contract is concluded by signing the individual service agreement or by electronic acceptance of an offer (e.g. by email confirmation or via an electronic signature service) and payment of the agreed setup fee.
Offers from the Provider are valid for 14 days from their date unless otherwise stated. Verbal side agreements are binding only after written confirmation by the Provider.
3. Scope of services
The Provider provides digital services in the areas of website development, AI-supported lead management, industry-specific automation, hosting and ongoing operation. The specific scope of services results from the individual service agreement and the package tier selected (Starter, Pro, Scale or Enterprise).
The Provider reserves the right to make technical adjustments, updates and improvements to the delivered system, provided these do not materially restrict the core functions.
3.1 Delivery deadlines
The Provider undertakes to put the contractually agreed system into productive operation within 14 calendar days of the start of the contract and receipt of the down payment. Delays caused by the Customer's failure to cooperate in good time (in particular missing asset delivery, outstanding approvals) extend the delivery period accordingly.
If the Provider is responsible for exceeding the 14-day deadline by more than 3 working days, the Provider grants a discount of 20% on the setup fee.
3.2 Performance dashboard
From the live date, the Customer has access to a performance dashboard that transparently presents the key metrics of its sales system. Each month, the Customer receives an automatically generated strategy PDF with performance data and specific recommendations.
4. Customer's duties to cooperate
The Customer undertakes to fulfil the following duties to cooperate:
- Timely delivery of all required assets (logo, images, texts, branding specifications)
- Approval of designs, texts and technical configurations within the agreed deadlines
- Provision of necessary access (domain DNS, existing tools, etc.)
- Designation of a contact person responsible for the cooperation
- Truthful information on business activities, objectives and existing infrastructure
Delays or additional work due to failure to cooperate entitle the Provider to additional remuneration at its hourly rate applicable at the time (standard: CHF 180 / hour).
5. Remuneration and payment
The remuneration is based on the package agreed in the contract. Setup fees fall due in two instalments: 50% on conclusion of the contract (down payment), 50% at go-live. Monthly service fees are charged monthly in advance from go-live by direct debit, credit card or bank transfer.
All prices are in Swiss francs (CHF) excluding value added tax (the Provider is not entered in the register of persons liable for VAT; a possible later VAT liability remains reserved) (where applicable).
In the event of payment default of more than 14 days, the Provider is entitled to suspend its services temporarily. Default interest is calculated at 5% in accordance with Art. 104 OR. Reminder fees amount to CHF 30 per reminder.
6. Contract term and termination
The minimum contract term for the monthly service fee is 12 months for the Starter and Pro packages and 24 months for the Scale package, from the date of go-live. After expiry of the minimum term, the contract is automatically extended for an indefinite period and may be terminated with one month's notice to the end of a calendar month.
Termination must be in writing (email is sufficient) and addressed to info@velrix.ch.
The right to extraordinary termination for good cause remains reserved to both parties. Good cause exists in particular in the event of a material breach of contract, insolvency or a sustained loss of trust.
7. Data protection and data security
The provider undertakes to comply with the Swiss Federal Act on Data Protection (FADP).
Data is processed on servers in Switzerland and Germany. The sub-processors used are Hostpoint AG (Rapperswil-Jona, Switzerland; website, e-mail, DNS) and Hostinger International Ltd (data centre Frankfurt am Main, Germany; dashboard, database, AI assessment). Processing agreements under Art. 9 FADP are in place with both. For the AI assessment, a language model is additionally accessed via the intermediary service OpenRouter, Inc. (USA); details are set out in the privacy policy.
The personal data of the Customer's customers are processed exclusively within the scope of the agreed provision of services. Disclosure to third parties takes place only insofar as this is necessary for the provision of services or required by statutory obligations.
A separate data processing agreement (DPA) is concluded with every customer as part of onboarding.
8. Intellectual property
The Customer receives a perpetual, transferable right of use in the content created individually for it (texts, designs, images). The underlying technical systems, workflows, AI prompts, database schemas and software components remain the property of the Provider.
At the end of the contract, the Customer receives on request a complete export of its content and customer data in a common, machine-readable format (CSV / SQL dump / asset archive).
Migration of the running infrastructure to the Customer's own hosting is possible for a separate fee (migration service, currently CHF 1'500).
9. Warranty and liability
The Provider warrants that its services are provided in accordance with the recognised rules of technology and with the requisite care.
The Provider is liable for damage caused intentionally or through gross negligence by it or its auxiliary persons. Liability for slight negligence, indirect damage, loss of profit and consequential damage is excluded to the extent permitted by law.
The Provider's total liability per damaging event is limited to the remuneration paid by the Customer in the relevant calendar year, but to a maximum of CHF 25'000.
For damage caused by external service providers used (in particular hosting providers), the Provider is liable only within the scope of its duty of careful selection and supervision.
The Provider gives no guarantee of specific business results, lead volumes or conversion rates. The Customer's economic success depends on numerous factors outside the Provider's sphere of influence.
10. Confidentiality
Both parties undertake to keep secret all confidential information that becomes known to them in the course of the cooperation and to use it only for the performance of the contract. This obligation also continues to apply after the end of the contract.
The Provider is entitled to name the Customer's name and logo in its own reference lists and marketing materials, provided the Customer does not object to this in writing.
11. Amendment of the GTC
The Provider reserves the right to amend these GTC at any time. Amendments will be communicated to the Customer in text form (email) at least 30 days before they take effect. If the Customer does not object to the amendments within 30 days of notification, they shall be deemed accepted. In the event of an objection, the Provider is entitled to terminate the contractual relationship with effect from the date the amendments take effect.
12. Final provisions
12.1 Written form
Amendments and additions to this contract must be made in writing to be effective. This also applies to any waiver of the written form requirement. Electronic signatures are deemed equivalent to a handwritten signature. If an external signature service is used to conclude a contract, the Customer will be informed of this in advance.
12.2 Severability clause
Should individual provisions of these GTC be invalid or unenforceable, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a provision that comes closest to the intended economic purpose.
12.3 Applicable law and place of jurisdiction
This contract and any disputes arising from or in connection with this contract are governed exclusively by Swiss law, to the exclusion of conflict-of-law provisions. The Vienna Convention on Contracts for the International Sale of Goods (CISG) is excluded.
The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the registered office of the Provider. The Provider is also entitled to take action against the Customer at the Customer's general place of jurisdiction.
